These Terms & Conditions (the "Terms") govern your access to and use of the PredictAsiaX platform, website, mobile experience, APIs, and all related services operated by the Operator (defined below) (together, the "Platform"). By creating an account, connecting a wallet, or otherwise using the Platform, you agree to be bound by these Terms and by any policies referenced in them.

"Operator" means the entity that owns and operates the Platform, based in the Cayman Islands. "You" or "User" means the natural or legal person accessing the Platform.

Please read these Terms carefully. If you do not agree, you must not use the Platform.

1. Platform Purpose

PredictAsiaX is an event-trading platform where users take positions on the probability of real-world outcomes across categories including politics, macro, crypto, equities, sports, entertainment, weather, and other publicly observable events. Positions are settled to USDT based on independently observable outcomes.

The Platform is not a securities exchange, futures exchange, commodities exchange, or licensed gambling venue. Instruments offered on the Platform are event contracts, not securities, futures, or derivatives as those terms are defined in any specific regulated market. The Operator does not act as your broker, dealer, adviser, or fiduciary.

2. Eligibility & Restricted Jurisdictions

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher). You must have full legal capacity to enter into a binding agreement. You must not be a Restricted Person.

"Restricted Person" includes: any person located in, ordinarily resident in, or a national of any jurisdiction subject to comprehensive sanctions administered by the United States (OFAC), the United Nations, the European Union, the United Kingdom, or the Cayman Islands; any person listed on any sanctions or blocked-persons list; and any person in a jurisdiction where use of the Platform is prohibited or would require a licence that the Operator does not hold.

You are solely responsible for determining whether your use of the Platform is lawful in your jurisdiction. The Operator may restrict or terminate access at any time, including based on IP, device, wallet-address, or KYT screening signals.

3. Account, Session & Wallets

To use the Platform you must create an Account by email + password or by connecting a supported wallet. You are responsible for keeping your credentials, trading PIN, MFA device, wallet seed phrase, and private keys secure. Any activity conducted through your Account is deemed to be authorised by you.

The Platform issues you unique HD-derived deposit addresses on supported chains for the purpose of funding your Platform balance. These deposit addresses are the Operator's addresses; funds sent to them are routed to your Platform balance after confirmation. You do not custody the private keys for HD deposit addresses.

You may optionally link an external wallet ("Linked Wallet") to your Account by cryptographic signature. The Linked Wallet is used for identity signalling, withdrawal destinations, and — in future phases — on-chain claim of on-Platform tokens. You custody the private key for your Linked Wallet.

4. Custodial Funds & Segregation

Deposits made to Platform-issued addresses are held custodially by the Operator on your behalf until you withdraw. Your Platform balance is a credit against the Operator's obligation to you and does not represent a claim to a specific segregated on-chain UTXO or address.

The Operator maintains internal segregation between user liabilities, insurance reserves, LP pools, treasury, and operating funds. The Operator may hold user assets in hot, warm, or cold wallets, and may deploy portions to reputable custody, staking, or bridging infrastructure to operate the Platform. The Operator does not lend user custodial USDT to third parties for yield.

The Operator maintains an insurance fund, sweep monitoring, KYT screening, cross-chain rebalancing, and reconciliation controls; however, no custody system is risk-free. See Section 11 (Risk Disclosure).

5. Deposits

The Platform supports USDT deposits on Polygon and TRC20 (and other chains as listed on the deposit page from time to time), and PAX deposits on Polygon. Each supported chain has its own network, contract address, minimum-confirmation count, and estimated arrival time.

You are solely responsible for: - sending only supported tokens on the correct chain to the correct deposit address; - ensuring the deposit meets minimum-confirmation and minimum-amount requirements; - gas / network fees; - correctly attributing memo / tag when required by the chain (e.g. TRC20).

Deposits sent to a wrong address, wrong chain, wrong token, without required memo, or below the minimum, may be permanently lost and are not recoverable by the Operator. Deposits from sanctioned or KYT-flagged addresses may be blocked, reversed, or frozen. The Operator may impose per-transaction, daily, or lifetime deposit limits.

6. Withdrawals

You may withdraw available USDT to any supported chain and address, subject to: - available balance (not reserved against open positions or unmet rollover conditions); - daily and per-transaction limits based on your VIP tier and trust score; - KYT / sanctions screening on the destination address; - network gas / withdrawal fees, which are deducted from the withdrawn amount; - cooldown or manual-review windows for large, first-time, or high-risk withdrawals; - pending referral, cashback, or bonus wagering requirements.

PAX on-chain withdrawals may be enabled in later phases; during Phase 1, PAX is held on-Platform as ledger balance. Availability, timing, chains, and minimums for PAX withdrawal will be published on the withdrawal page.

The Operator may pause, delay, or refuse a withdrawal that appears fraudulent, sanctioned, in breach of these Terms, subject to a legal request, or otherwise materially risky. The Operator does not guarantee any specific withdrawal-processing time.

7. Trading, Order Types & Positions

The Platform offers multiple product surfaces including standard prediction markets, event markets, fast markets, parlay bets, and copy-trading bundles. Each surface may have different order types, size limits, fee schedules, settlement paths, and cancel windows, which are documented in-product.

All trades are final on execution. You cannot rescind, reverse, or cancel a settled trade based on subsequent price movement, information discovery, or regret. Open orders may be cancelled up to the moment they fill.

The Operator may pause a market, cancel un-executed orders, refuse to open new positions, close-out open positions, or void trades in the event of oracle failure, obvious pricing errors, manipulation, market disruption, or force-majeure. You acknowledge that outcomes on thin markets, fast markets, and long-tail markets are more volatile than deep, mainstream markets.

8. Fees, Discounts & VIP Boost

The Operator charges a platform fee ("House Edge") built into pricing on each market. The applicable fee for each product surface is disclosed in-product before you place an order.

The Platform offers volume-based VIP tiers with corresponding fee discounts. Users may earn additional VIP-tier boost by holding PAX; a per-tier PAX-holding schedule is published on the PAX benefits page and is subject to change.

Users may optionally pay eligible platform fees using PAX at a published discount. Availability, eligibility, and discount rates for "pay with PAX" are subject to change and may be suspended.

All fees, discounts, boosts, and rebates are quoted in nominal terms and are not guarantees of net profitability. Nothing in this section entitles you to any specific rate; the Operator may change the fee schedule at any time on prospective trades.

9. Settlement & Resolution

Markets settle based on independently verifiable outcomes. The Platform uses a combination of on-chain oracles, external data providers, LLM-based evidence aggregation, and human-review paths as documented on the /how-it-works page and in the settlement engine catalogue.

Settlement decisions are made by the Operator acting reasonably and in good faith. Where reliable evidence is unavailable, or the market is materially ambiguous, the Operator may void the market and refund positions at cost.

You may file a dispute against a settlement within the published dispute window (typically 7 days). The Operator's decision on a disputed settlement is final, subject only to Section 22 (Governing Law).

10. No Investment, Financial, Legal or Tax Advice

Nothing on the Platform — including market pages, price charts, AI-generated commentary, news feeds, whale signals, sentiment scores, dashboards, copy-trading bundles, or any communication from the Operator — is intended as investment, financial, legal, tax, or accounting advice.

All content is provided for informational and entertainment purposes. You are solely responsible for your trading decisions and their tax and legal consequences in your jurisdiction.

11. Risk Disclosure

Trading on the Platform involves substantial risk of loss. You may lose all or a material portion of the funds you deposit. Risks include, without limitation: - market risk: adverse price moves against your positions; - settlement risk: outcomes resolving differently to your expectation; - oracle risk: primary data providers going down, being manipulated, or reporting incorrectly; - liquidity risk: thin or long-tail markets moving sharply on small trades; - smart-contract, bridge, and custody risks affecting on-chain funds; - technology risk: bugs, downtime, latency, or misconfiguration; - counterparty risk on any bundled service (e.g. copy-trading leaders); - regulatory and legal risk affecting the Platform or your jurisdiction; - risks specific to any PAX-denominated feature — see Sections 14–17.

You should only trade with funds you can afford to lose.

12. Prohibited Conduct

You must not, and must not attempt to: - create multiple accounts to circumvent limits, promos, or bans; - use bots, scripts, or automation without written authorisation; - engage in wash trading, self-trading, spoofing, layering, front-running, market manipulation, insider trading, or collusion; - use funds derived from illegal activity, sanctioned parties, or unhosted mixers; - reverse-engineer, scrape, load-test, DoS, or otherwise interfere with the Platform; - misrepresent your identity, jurisdiction, source of funds, or eligibility; - share, sell, or lease your Account; - use the Platform to launder proceeds of crime or finance terrorism.

Violation entitles the Operator to: freeze the Account; reverse trades; claw back cashback, referral, LP, and any other rewards; withhold or reject withdrawals pending investigation; report to authorities; and terminate access.

13. Sanctions, KYT & Compliance

The Operator screens deposit and withdrawal addresses against the OFAC Specially Designated Nationals (SDN) crypto address list (via the publicly maintained 0xB10C OFAC list) and other sanctions and blocked-persons lists. Addresses that match, or that transit known sanctioned mixers, tumblers, or illicit-source clusters, may be refused, frozen, or reported.

You represent and warrant that you are not a Restricted Person and that your source of funds is lawful. The Operator may request additional information at any time. The Operator may report suspicious activity to competent authorities and cooperate with lawful production orders.

The Platform currently operates in a self-custody-friendly Web3 model. The Operator may, at its discretion or when required by applicable law, implement KYC, address attestations, travel-rule messaging, or other compliance measures on some or all flows on a prospective basis.

14. PAX Token — General

PAX is the native utility token of the PredictAsiaX ecosystem, deployed on Polygon PoS at contract address 0x63DE49A3c952ca35957d03741EC62E7A19af67a3. Circulating and max supply information is verifiable on Polygonscan, CoinGecko, and GeckoTerminal.

PAX is designed as a utility token to power on-Platform mechanics including VIP tier boost, optional fee payment discount, cashback distribution, LP rewards, and future governance and staking utility. PAX is not offered as a security, share, unit, deposit, investment contract, note, or debt instrument, and is not backed by any promise of profit, dividend, buyback, revenue share, or return of capital by the Operator.

You acknowledge that PAX price is set by an open on-chain liquidity pool and is volatile. Nothing in the Platform's marketing, whitepaper, roadmap, or product copy constitutes a guarantee that PAX will retain value, be listed, be tradable on any particular venue, or be integrated with any specific future feature.

15. PAX Cashback Program (Launch Promotion)

The PAX Cashback Program (the "Cashback Program") is a time-limited launch promotion under which the Operator returns a portion of the platform fee paid by eligible users on eligible trades, denominated in PAX, credited to the user's on-Platform balance.

The following rules apply and, together with the in-product disclosures and the How It Works page, form the binding terms of the Cashback Program:

(a) Eligibility. Only Accounts in good standing that pass sanctions, KYT, and anti-abuse checks are eligible. The Operator may exclude Accounts based on IP, device fingerprint, wallet cluster, or behavioural signals indicating multi-account abuse, coordination, or bot activity.

(b) Eligible markets. Cashback applies only to trades on Eligible Markets, as determined by the Operator. Certain product surfaces (including but not limited to parlay, fast markets, copy-trade legs, and demo mode) may be excluded. The current list of Eligible Markets is set by the Operator and may be updated on a prospective basis.

(c) Rate. The cashback rate is a percentage of the platform fee paid, at the Operator's published rate. The rate is subject to change on a prospective basis.

(d) Per-user cap. Each eligible user may earn cashback up to a fixed lifetime PAX amount and a fixed number of qualifying trades during the Program window, as published on the How It Works page.

(e) Program cap. The total pool of PAX distributed across all users during the Cashback Program is capped. Once the pool is exhausted, the Program closes automatically and cashback stops accruing.

(f) Auto-close & discretion. The Program closes automatically when the pool cap is reached and can be paused, adjusted, or ended by the Operator at any time and for any reason, including in response to abuse, oracle failure, market disruption, regulatory change, or in the Operator's sole discretion.

(g) Pricing. PAX amounts credited are calculated using the Operator's manipulation-resistant price feed (multi-source median across independent providers with a divergence-tolerance gate). You accept the Operator's price as final for cashback purposes.

(h) Claim & withdrawal. Cashback is credited to your on-Platform PAX balance. On-chain claim of PAX to an external wallet is subject to Section 6 (Withdrawals) and will be phased in on the Platform's published roadmap.

(i) Anti-abuse & clawback. Cashback obtained by a user who has engaged in prohibited conduct (Section 12), Sybil / multi-account activity, wash trading, self-trading, or any activity intended to game the Program may be disqualified, clawed back, or forfeited. The Operator's determination is final.

(j) Taxes. You are responsible for any taxes on cashback received.

(k) No guarantee. Nothing in the Cashback Program constitutes a promise of any specific PAX amount or USD-equivalent value. PAX price may change materially between the moment of a cashback credit and any later action you take.

16. PAX LP Rewards Program

The PAX LP Rewards Program (the "LP Program") incentivises users to provide liquidity to the designated PAX Uniswap V3 pool on Polygon. When active, the LP Program distributes PAX to eligible LP positions.

LP rewards, when active, are subject to: - eligibility of the LP position (pool, tick range, in-range dwell time, minimum size); - an upfront on-registration reward and/or a continuous emission stream, at the Operator's published schedule; - per-address and per-cluster lifetime caps and a program-wide cap; - a Sablier-based vesting stream with a published cliff/lock period, meaning rewards are not immediately transferable and may be forfeited if the LP position is closed or moved before the cliff; - anti-abuse cluster detection to prevent Sybil rewards farming.

The LP Program can be paused, adjusted, or ended by the Operator at any time. Uniswap V3 LP itself involves risks including impermanent loss, out-of-range positions earning zero rewards, and smart-contract risk in the pool and vesting contracts. These risks are yours to bear.

17. Referrals & KOL Program

The Platform offers a referral program under which existing users may invite new users using a personalised referral link. When the referred user meets eligibility and activity requirements, both parties may receive PAX or USDT rewards on the Platform's published schedule.

The Platform also operates a Key Opinion Leader ("KOL") program under which approved public figures earn a share of activity generated by users they refer, on terms agreed in a separate KOL agreement.

All referral and KOL rewards are subject to eligibility, anti-Sybil, and anti-abuse controls including but not limited to IP, device, and cluster independence checks. Self-referral, close-cluster referral, or any manipulation of the referral graph is prohibited (Section 12) and results in forfeiture and clawback.

18. Intellectual Property

All content, code, models, prompts, trademarks, logos, brand elements, whitepapers, market copy, AI-generated summaries, oracle configurations, and settlement rules are the property of the Operator or its licensors and are protected by intellectual property law.

You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your personal, non-commercial trading use. You may not copy, republish, mirror, sell, sublicense, scrape, or reverse-engineer any part of the Platform without prior written consent.

19. Disclaimers & Limitation of Liability

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or completeness. The Operator does not warrant that the Platform will be uninterrupted or error-free.

To the maximum extent permitted by law, the Operator, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or opportunity, howsoever arising, even if advised of the possibility of such damages.

The aggregate liability of the Operator arising out of or in connection with these Terms or your use of the Platform is limited to the greater of: (a) the total platform fees you paid to the Operator in the 90 days preceding the event giving rise to the claim; and (b) US$100.

20. Indemnification

You agree to indemnify, defend, and hold harmless the Operator, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) your infringement of any third-party right.

21. Changes to Terms & Product

The Operator may amend these Terms at any time. Material changes will be signalled in-product or by email to the address associated with your Account. Continued use of the Platform after the effective date of an amendment constitutes acceptance of the amended Terms. If you do not agree, you must stop using the Platform and, subject to any pending compliance or trading obligations, withdraw your balance.

The Operator may also add, modify, suspend, or discontinue any product surface, market, order type, promo, oracle, chain, token, or feature at any time, in whole or in part.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-law principles. You and the Operator submit to the exclusive jurisdiction of the courts of the Cayman Islands for the resolution of any dispute not resolved through the Platform's in-product dispute mechanisms.

To the maximum extent permitted by law, you waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding against the Operator.

By continuing to use PredictAsiaX, you acknowledge that you have read and understood these Terms in their entirety, and that you agree to be bound by them and by the policies, disclosures, and in-product notices referenced in them, including the PAX Cashback Program rules in Section 15, the LP Program rules in Section 16, and the Referrals & KOL rules in Section 17. If any provision of these Terms is held unenforceable, the remainder shall remain in full force and effect.
